Celecart enables discovery of products through curated collections, affiliate links, and brand collaborations.

Celecart acts solely as a technology platform and intermediary and is not a retailer, manufacturer, distributor, or seller of products.

All purchases occur directly between users and third-party merchants or brands.

Eligibility

To use Celecart:

• Users must be at least 18 years old.
• Individuals aged 13–17 may only use the platform with parental consent.
• Users under the age of 13 are not permitted to use the platform.

Celecart reserves the right to request identity verification or remove accounts that do not meet eligibility requirements.

User Accounts

Certain features of Celecart require account registration.

Users agree to:

• Maintain the Confidentiality of Login Credentials
• Notify Celecart Immediately of Unauthorized Access

Users are responsible for all activity occurring under their account.

Participation may also be governed by additional agreements including:

• Celebrity Curator Agreement

Participation on the platform does not create employment, partnership, or agency relationships with Celecart.

Celecart may approve, reject, suspend, or terminate participation at its sole discretion.

Nature of Product Listings

Products displayed on Celecart are provided by third-party brands or merchants.

Celecart does not control and does not guarantee:

• Product Availability
• Product Descriptions
• Product Safety
• Product Delivery
• Product Quality

All purchases occur directly between the consumer and the merchant.

Celecart is not responsible for returns, refunds, product defects, or delivery issues.

Affiliate Links and Commissions

Celecart may earn revenue through:

• Affiliate Marketing Programs
• Brand Partnerships
• Advertising Relationships
• Sponsored Placements

Celecart may partner with affiliate networks including but not limited to Rakuten, Impact, or similar platforms.

Commissions are determined by merchants and may change at any time.

Celecart does not guarantee commission tracking accuracy where third-party systems are involved.

Creator and Celebrity Recommendations

Creators, celebrities, and curators may share product recommendations and storefront collections.

Celecart does not independently verify the accuracy of these recommendations.

Users acknowledge that recommendations reflect personal opinions of creators and celebrities and should not be interpreted as professional advice.

Celecart is not responsible for damages or losses arising from reliance on creator recommendations.

FTC and Advertising Compliance

Creators and celebrities using Celecart must comply with applicable advertising regulations including:

• Disclosure Requirements for Sponsored Content
• Applicable Consumer Protection Laws

Sponsored content must be clearly disclosed.

Celecart reserves the right to remove content that violates advertising standards.

Acceptable Use

Users may not:

• Violate Any Applicable Laws
• Distribute Harmful or Fraudulent Content
• Manipulate Affiliate Systems or Commissions
• Scrape or Extract Platform Data
• Use Bots or Automated Systems to Access the Platform
• Impersonate Other Individuals or Entities
• Attempt to Disrupt or Compromise Platform Security

Celecart may remove content or suspend accounts engaging in prohibited conduct.

Intellectual Property

All Celecart technology, branding, software, and platform design are the property of Celecart Inc. or its licensors.

This includes:

• Logos
• Software Systems
• Analytics Tools
• Platform Design

Users may not reproduce or distribute Celecart intellectual property without permission.

Creators retain ownership of their original content but grant Celecart a worldwide, royalty-free license to display, distribute, and promote such content on the platform.

Third-Party Services

Celecart integrates with third-party services including:

• Retailers and Merchants
• Affiliate Networks
• Payment Providers
• Analytics Tools
• Social Media Platforms

Celecart does not control and is not responsible for the policies or services of third parties.

Users interact with third-party services at their own risk.

Platform Availability

Celecart may modify, suspend, or discontinue features of the platform at any time.

Celecart does not guarantee uninterrupted access to the platform.

Service interruptions may occur due to maintenance, updates, or technical issues.

Disclaimer of Warranties

The Celecart platform is provided “as is” and “as available.”

Celecart disclaims all warranties, including:

• Uninterrupted Platform Operation

Celecart does not guarantee the accuracy or reliability of platform content.

Limitation of Liability

To the fullest extent permitted by law, Celecart shall not be liable for:

• Business Interruption
• Reputational Harm

Celecart's total liability shall not exceed the greater of $100 or the amount paid to Celecart within the previous 12 months.

Indemnification

Users agree to indemnify and hold harmless Celecart Inc., its officers, employees, partners, and affiliates from claims arising from:

Account Suspension and Termination

Celecart may suspend or terminate user accounts at its discretion for:

Celecart may remove content without prior notice.

Pre-Dispute Resolution

Before initiating arbitration or legal action, users must first attempt to resolve disputes informally.

Both parties agree to attempt resolution in good faith for 60 days before initiating arbitration.

• The Right to Participate in Class Actions or Collective Lawsuits

Arbitration shall be conducted individually.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Force Majeure

Celecart shall not be liable for delays or failures caused by events beyond its reasonable control including:

Sanctions and Export Compliance

Users represent that they are not subject to sanctions imposed by the United States or other governing authorities.

Users may not use the platform in violation of export control or sanctions laws.

Entire Agreement

These Terms, together with the Privacy Policy and other policies published by Celecart, constitute the entire agreement between users and Celecart.

If any provision is deemed unenforceable, the remaining provisions remain in full force.

Updates to These Terms

Celecart may update these Terms from time to time.

Updated Terms will be posted with the revised effective date.

Continued use of the platform constitutes acceptance of the updated Terms.
